Terms
Terms of use and sale
1. What these terms cover
These terms apply to the free benchmark pages and to the three things we sell:
- Research dataset access: an annual subscription to the dataset exports in the members area, bought online.
- Annual benchmark licence: twelve months' access to the full platform, datasets and reports, sold by quote and invoice and renewing each year.
- Board technology diagnostic: a hand-verified read of one company's board technology oversight, sold by quote and invoice.
If a signed quote or order form says something different from these terms, the quote or order form wins.
2. Using the free pages
The public pages show aggregate findings only. You may quote and cite them with attribution to the benchmark and its edition. Reusing the underlying data commercially, or reproducing a substantial part of it, needs a licence.
3. Buying
- Prices are in US dollars and are shown at checkout or on your quote. VAT or other sales taxes are added where they apply.
- Online payments are taken by Stripe on our behalf. We never see or store your full card details.
- An online purchase becomes a contract when your payment is confirmed. A quoted purchase becomes a contract when you accept the quote or pay its invoice.
- Invoices are payable within 30 days unless the quote says otherwise.
4. Access
Access is tied to the email address used to buy, or the one named on the quote. You sign in to the members area with a one-time link sent to that address. Do not share sign-in links or forward exported files outside the people your purchase covers. Subscription and licence access runs to the end of the period paid for. A diagnostic's company read is available for twelve months from payment.
5. Renewal and cancellation
Dataset subscriptions and annual licences renew automatically each year until cancelled. We will tell you about any price change at least 30 days before it applies to a renewal. You can cancel at any time from the billing portal linked in the members area, or by writing to us. Cancellation stops the next renewal. Your access continues until the end of the year already paid for. Refunds are covered under Refunds.
6. What your purchase lets you do with the data
- Use the exports, reports and platform within your own organisation, for your own work.
- Quote individual figures in your own publications, with attribution.
- Do not resell, sublicense or republish the exports or reports, or publish named company scores from them.
- A diagnostic's company read is confidential to the company it describes, and is shared only with that company.
7. Accuracy and how to use the findings
The benchmark is built from public company filings using the published method. Named company scores in the full platform and the exports are machine-drafted and unverified unless a record says it has been checked by hand. The findings are research. They are not investment, legal or other professional advice. If you think a record is wrong, write to us at the address above, naming the filing concerned, and we will check it against the method.
8. Ownership
The benchmark, its method, data, reports and this site belong to us or to the people who licensed material to us. Buying access gives you the rights in section 6 and nothing more.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited. Otherwise, for business customers:
- We are not liable for indirect or consequential loss, or for loss of profit, revenue or business opportunity.
- Our total liability for any purchase is limited to the amount you paid us for it in the twelve months before the claim.
If you buy as a consumer, your statutory rights are not affected.
10. Suspension
We may suspend or end access if these terms are seriously broken, for example by redistributing exports. We will tell you why in writing first, unless the breach is continuing and causing harm.
11. Changes to these terms
We may update these terms and will post the new version here with its date. A change applies to a subscription or licence from its next renewal, not partway through a paid period.
12. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
Refunds
Cancellation and refunds
| Purchase | Cancelling | Refund |
|---|---|---|
| Research dataset access | Any time, from the billing portal or by email. Access runs to the end of the paid year. | No refund for the unused part of a year. |
| Annual benchmark licence | Any time before the renewal date, from the billing portal or by email. Access runs to the end of the paid year. | No refund for the unused part of a year. |
| Board technology diagnostic | By email. | In full if cancelled before work starts. None once work has started. |
Buying as a consumer
If you buy dataset access for yourself rather than for a business, you may cancel within 14 days of purchase for a full refund.
When we refund in full
- If we cannot deliver what you paid for.
- If you were charged twice or charged in error.
How to ask for a refund
Write to james@intercedent-asia.com with the email address you bought with and, if you have it, the invoice number. Refunds go back to the original payment method within ten working days of our agreeing them. Your bank may take a few more days to show the refund.
Privacy
Privacy notice
This notice explains what personal information the benchmark collects, why, and what you can ask us to do with it. The two firms named under Who we are are joint controllers of that information under UK data protection law. Between us, we have agreed who handles what. For any privacy request, use the one address above and we will deal with it together.

| You tick the quarterly update or interview box | That choice, with your contact details | To send the update, or to invite you to an interview. Your consent, which you can withdraw at any time. |

Card details go straight to Stripe and never reach us. We do not sell personal information. We do not use it for advertising.
Who processes it for us
- Supabase: the database behind the forms and the members area, and the sign-in emails. Hosted in the United States.
- Stripe: payments, invoices and the billing portal.
- Render: hosting for this site. Its servers log visitors' IP addresses.
- jsDelivr and Google Fonts: deliver code libraries and fonts to your browser, which shares your IP address with them.
- Our email provider, for correspondence.
International transfers
Some of these providers store or process information outside the UK, mainly in the United States. Where they do, the transfer relies on UK adequacy regulations, including the UK extension to the EU-US Data Privacy Framework, or on the UK's approved international data transfer clauses.
How long we keep it
- Enquiries and self-check answers: 24 months after our last contact with you.
- The quarterly update list: until you unsubscribe.
- Members-area access records: 24 months.
- Purchase and billing records: six years after the end of the financial year they belong to, as tax law requires.
Cookies and browser storage
The benchmark pages set no cookies and use no analytics. The members area keeps your sign-in session in your browser's local storage, which is needed for signing in to work. Stripe's checkout and billing pages set their own cookies for security and fraud prevention, under Stripe's privacy policy.
Your rights
You can ask for a copy of your information, or ask us to correct it, delete it, restrict its use or send it to you in a portable form. You can also object to our using it on the basis of legitimate interests, and withdraw any consent at any time. Write to the address above. If you are unhappy with how we have handled your information, you can complain to the Information Commissioner's Office at ico.org.uk.
Changes to this notice
We will post any change here with its date. If a change matters to how we use information we already hold, we will tell the people affected.
